Terms & Conditions For Use Of The SAE Website

The following terms and conditions (the "Terms and Conditions") govern your use of the website ("Site") of SAE International, a Pennsylvania not-for-profit corporation ("SAE"), and any services contained within the Site. These Terms and Conditions include SAE's Website Privacy Policy ("SAE's Privacy Policy"), SAE's Content Policy & Code of Conduct and any supplemental terms and conditions ("Supplemental Terms") that will govern your use of specific SAE services, such as the SAE Community and SAE Video ("Additional Services"). 

By accessing, using or downloading/uploading any materials from/to this Site, you agree to these Terms and Conditions. In addition, you agree to the applicable Supplemental Terms by accessing, using, downloading materials from or uploading materials to that Additional Service. 

  1. Copyrights. Unless otherwise noted, all information, text, articles, data, images, documents, software or other materials (collectively, "Materials") contained on any page within this Site are copyrighted by SAE or a third party (collectively, "IP Holder"). Title to copyright in the Materials will at all times remain with the IP Holder. You may only use, download or copy the Materials contained in the Site in accordance with the Terms and Conditions. Any permitted copies of the Materials must retain the copyright notice, and any other proprietary notices contained in such Materials. Unless otherwise provided in the Terms and Conditions, you may not edit, modify, adapt or make use of the Materials without the express, prior written consent of SAE. You may not use any content contained in the Materials in any manner that may give a false or misleading impression or statement as to SAE, the IP Holder, or any third party referenced in the Materials. Nothing on this Site shall be construed as conferring any license under any IP Holder's intellectual property rights. You agree to use the Site and the Materials and services and products on the Site or accessible via the Site only for lawful purposes. SAE MAY REVOKE ANY OF THE FOREGOING RIGHTS, AS WELL AS ANY ACCESS AND USE AUTHORIZATIONS GRANTED TO USERS OF THE SITE AT ANY TIME. Except as specifically provided in these Terms and Conditions (including any applicable Supplemental Terms), any reproduction, distribution, replication or retransmission of any information contained on this Site without the prior written consent of SAE is strictly prohibited. 
  2. Privacy Policy, Content Policy & Code of Conduct. SAE's Privacy Policy, Content Policy and Code of Conduct form a part of these Terms and Conditions. The Supplemental Terms contained in SAE's Privacy Policy, Content Policy and Code of Conduct include, but are not limited to, the collection, use, and sharing of personal information and the submission, posting and uploading of content provided in connection with the use of the Site and such Additional Services.

Links to Third Party Sites. SAE is not responsible for the contents of any websites that are accessible via any link on this Site, or any changes or updates to the information contained in such sites. SAE provides the linked sites to you as a convenience and does not imply that SAE endorses the site, the organization operating such site, nor any products or services of that organization. 
  5. Export Restrictions. You acknowledge and agree that the Materials are subject to the U.S. Export Administration Laws and Regulations. Diversion of such Materials contrary to U.S. law is prohibited. You agree that none of the Materials is being or will be acquired for, shipped, transferred, or re-exported, directly or indirectly, to proscribed or embargoed countries or their nationals, unless authorized by the U.S. Government. You agree to comply strictly with all U.S. export laws and assume sole responsibility for obtaining licenses to export or re-export as may be required. 
  6. Confidentiality & Use of Information. Unless otherwise provided in the Terms and Conditions, any communication, comments, material or feedback with regard to contents on this Site transmitted by a user of this Site via electronic mail or otherwise shall be deemed to be non-confidential and SAE shall be free to reproduce, use, disclose and distribute the information to others without limitation. Further, SAE shall be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever including, without limitation, publication on the Site, or other SAE publications, and developing, manufacturing, and marketing products using such information. 
  7. Governing Law and Venue. Any action, proceeding, dispute, claim or controversy arising out of or relating to this Site or these Terms and Conditions, or any SAE products or SAE services offered on or accessed via the Site, shall (i) be governed by Pennsylvania law, without regard to its conflicts of law rules and (ii) be subject to the exclusive jurisdiction of the courts of the Pennsylvania or of the United States District Courts located within Pennsylvania, and you hereby submit to the jurisdiction of said courts. 
  8. Complete Agreement; Changes to the Terms and Conditions. These Terms and Conditions represent the entire understanding relating to the use of the Site and prevail over any prior or contemporaneous, conflicting or additional, communications. SAE shall have the right to revise and modify the Terms and Conditions at any time by posting the revised Terms and Conditions on the Site. Any use of the Site after such posting shall be deemed to constitute acceptance of the revised Terms and Conditions by the user. 
  9. Trademarks. "SAE International", the SAE logo, and other SAE logos and titles are trademarks or service marks of SAE. Nothing contained in the Site should be construed as granting any license or right to use any trademark displayed on the Site without prior written permission of SAE or other trademark owners. 
  10. Indemnification. You agree to defend, indemnify, and hold harmless SAE, its officers, directors, employees, members, agents and affiliates from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your breach of the Terms and Conditions, including without limitation, the Supplemental Terms. 
  11. Termination. SAE may terminate this agreement and your access and use of the Site, or any portion of the Site, in the event of any conduct by you or through your account which SAE, in its sole discretion, considers to be unacceptable, or in the event of any breach by you of the Terms and Conditions.

Volunteer Code of Conduct

All SAE Volunteers are expected to uphold the highest standards for professional conduct while volunteering for an SAE Program. Volunteers must treat all participants with courtesy, respect, and dignity. Volunteers are responsible for modeling professional conduct and for cultivating a respectful and inclusive program.

To foster a just and safe community unprofessional behavior, including that which is intimidating, threatening, violent, inappropriate, illegal, or dishonest, will be addressed by promoting accountability and following up with any actions necessary. Unprofessional behavior may result in the removal of volunteers from the program indefinitely.

Acceptable Use Policy
This Acceptable Use Policy (“AUP”) applies to your use of the Chronus Services (“Services”) and any content you contribute (“Content”). You agree you will not use the Services for any purpose that is unlawful or prohibited by this AUP. You may not use the Services in any manner that could damage, disable, overburden, or impair the Services, networks connected to the Services or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks through any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
User Conduct. The Services allow you to submit Content. You agree to only submit Content that is proper. By way of example, and not as a limitation, you agree that when submitting Content, you will not:
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.
  • Submit Content in connection with surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative or unsolicited messages (commercial or otherwise).
  • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.
  • Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.
  • Download any file posted by another user of the Services that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.
  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Submission Tool specifically allows such messages.
  • Violate any applicable laws or regulations.
  • Create a false identity for the purpose of misleading others.
Chronus has no obligation to monitor your Content. However, we reserve the right to review materials posted and to remove any materials in our sole discretion.
Chronus reserves the right to terminate your access to any or all of the Services at any time, without notice, for any reason whatsoever.
Chronus reserves the right at all times to disclose any information as we deem necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in our sole discretion.
Use caution when giving out any personally identifiable information. Chronus does not control or endorse the content, messages or information submitted in the Services and, therefore, Chronus specifically disclaims any liability with regard to any submissions in the Services and any actions resulting from your submission of Content and participation in any areas where content may be submitted in the Services.
Use of Content. Your Content will be able to be viewed by other users of the Services. You should only provide your Content if you are comfortable sharing it with others.
You understand that Chronus does not guarantee the confidentiality of your Content and you shall be solely responsible for your Content and the consequences of submitting and publishing your Content on the Services. You represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish your Content.
You retain all right in your Content. By submitting your Content through the Services you hereby grant Chronus a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your Content in connection with the Services.
Feedback. Any suggestions, comments, or other input you give to Chronus (“Feedback”), even if designated as confidential, will not create any confidentiality obligation for Chronus. Chronus will be free to use, reproduce, license or otherwise distribute, and exploit Feedback to improve and enhance Chronus products, technology, services, documentation or otherwise. Chronus’ use of Feedback does not create any obligation to you. You agree not to provide Chronus with any Feedback that is subject to license terms that seek to require any Chronus products, technologies, services or documentation incorporating or derived from such Feedback, or any of Chronus intellectual property, to be licensed or otherwise shared with any third party.
Courses Terms. These Courses Terms apply to your use of the Chronus Courses ("Courses") program. Please review these terms. We may suspend your access to the Chronus Services and/or the Courses at any time if we believe you are not complying with these terms.
Courses Requirements. You must act responsibility as described in the AUP. In addition to the AUP terms, you agree that:
  • You may participate in the Courses and/or receive a digital certificate only if you act in compliance with these Courses terms.
  • Participation in the Courses and therefore accessing any online content and courses by anyone under the age of 13 is strictly prohibited.
  • You are not eligible to participate in the Courses program if you are a resident of the regions that are prohibited by export controls and sanctions programs.
  • You must take the relevant Courses through Chronus and/or if the Course offers a certificate, you might potentially be required to receive a passing score to obtain a valid Certificate. Each Certificate's validity term may differ.
  • You will participate in the Courses program in a professional manner and will not allow any other individual to access your Chronus account or benefits. If the relevant Course requires you to pass an exam for Certificate, you will not receive any unauthorized assistance to pass the exam.
  • The Courses may be offered by Chronus, or your employer or by other third parties. Chronus does not review or endorse the content or Courses of your employer or any third parties. Any Certificate may only be used to represent that you are acknowledged by Chronus or the applicable party for participating and completing courses in the Courses program and/or for passing an exam to obtain the Certificate.
  • Chronus may discontinue the Courses program at any time in its sole discretion.
  • Chronus will use your personal information that you provided for the participation of the Courses program in accordance with the Privacy Notice.
NO WARRANTIES. CHRONUS MAKES NO WARRANTY THAT THE COURSES PROGRAM, ANY MATERIALS, INFORMATION, SOFTWARE, OR CONTENT (A) WILL MEET YOUR EXPECTATION (B) WILL BE TIMELY, SECURE, UNINTERRUPTED, FREE OF ERRORS OR VIRUSES. CHRONUS MAY PROVIDE YOU THE ABILITY TO ACCESS AND/OR USE CONTENT PROVIDED BY OTHER THIRD PARTIES OR BY SERVICES MAINTAINED BY THIRD PARTIES. WE HAVE NO OBLIGATION TO MONITOR THIRD PARTY CONTENT, BUT RESERVE THE RIGHT TO REVIEW AND/OR REMOVE ANY POSTED CONTENT. CHRONUS DISCLAIMS ANY AND ALL LIABILITY RELATED TO YOUR ACCESS OR USE OF THE COURSES PROGRAM OR ANY RELATED CONTENT. YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS TO OR USE OF THE COURSES PROGRAM OR SUCH CONTENT IS AT YOUR OWN RISK.
